1. General

1.1 Tellyourproblems.com operates an online Meeting point  where professional and volunteer counsellors meet with users under the name Tellyourproblem (hereinafter “Tellyourproblem.com”).

1.2 These Terms and Conditions (“Terms”) govern the relationship between Tellyourproblems and You, the Website Visitor or User.

1.3 These Terms and Conditions may be changed without prior notice at any time.

1.4 By using this Website, whether or not you make any engagement with any professional listed on the Website or follow through with any suggestions and advices, means that you have understood and accepted these Terms.

2. Defined Terms

Intellectual Property Rights means all patents, registered and unregistered designs, copyright, trademarks, know-how and all other forms of intellectual property wherever in the world enforceable.

User or Member means any counsellor, subscriber and web user accepted by Tellyourproblems to be a Member and whose name and details and information appears on the Website

Website Information means name, address, telephone number, email address, training, qualifications and experience, areas of counselling, fees, membership organisations and proof of professionalism

Website User means a person using the Website

3. Website Use

3.1 You accept that the TellYourProblems and all information published on it is purely a directory of volunteer counsellors and other professionals, published for information to the public and does not in any way constitute a reference, validation or in any way an endorsement of any information to You, the Website User or any recommendation or endorsement of the Subscriber or services offered by the Subscriber. A Posting, feedback or comment does not mean TellYourProblems endorses the qualifications or professionalism of the Subscriber.

3.2 You accept that the Website Information is information provided by Other Registered Users to the Website. Whilst TellYourProblems will use all reasonable endeavours to ensure that the Website Information is correct and up to date at the time, and will carry out a check of Website Information given at the time subscription initially begins, the liability for providing accurate Website Information remains on the Subscriber to the Website and TellYourProblems specifically and expressly does not accept any liability for the accuracy of the Website Information.

3.3 You accept that it is Your duty to verify the Website Information before relying on it.

3.4 You further accept that TellYourProblems shall bear no liability or responsibility for advice or counselling given by any Other Registered Users or actions taken by You as a result of that advice or counselling.

3.5 TellYourProblems is not responsible for any content or information published or Links to other website which may appear on the Website.

3.6 The information displayed by TellYourProblems on the Website is a directory for information only. It is not intended in any way to be a substitute for medical advice or the advice of any other healthcare professional. TellYourProblems is not responsible for any decisions or diagnoses which might claim to come by based upon any content published on the Website.

3.7 You expressly agree that you will not sell or trade in any materials on the Website or re-distribute these in any way or for any purpose including the compiling of any databases, lists or directories or providing commercial information to any third party or any commercial or other reason.

3.8 You agree that the Website is provided for personal use only for those wishing to engage the services of a Subscriber. You agree not to use the Website for commercial purposes including contacting Other Registered Users to promote your goods or services.

3.9 TellYourProblems shall not be liable for any interruption or temporary or otherwise shut down of the Website or any omissions, interruptions, suspension or deletion of emails.

3.10 TellYourProblems does not guarantee the security of any information transmitted over the Internet.

3.11 You accept that any telephone numbers listed on this Website may be recorded for security purposes.

4. Intellectual Property

4.1 You accept that ownership of all Intellectual Property Rights remain with the Subscriber to the Website and cannot transfer to you or TellYourProblems under any circumstances.

5. Complaints Procedure

5.1 Notwithstanding that you accept that TellYourProblems has not validated, endorsed or accepted liability for the Website Information, if you have any matters which you would wish to bring to TellYourProblems following your contact with any of the Other Registered Users, these may be put forward to TellYourProblems. You also understand that, should TellYourProblems receive any complaint from You, TellYourProblems is entitled to request further information from You, but is not under any obligation to investigate further or to take any particular action, or at all, against the particular Subscriber. TellYourProblems shall have the right to send a copy of any complaint to the Subscriber concerned, and have the right to remove a Subscriber.

Website Subscribers
1. General

1.1 Alosom Inc. operates an online directory for volunteer counsellors and operates under the name TellYourProblems (hereinafter “TellYourProblems”).

1.2 These Terms and Conditions (“Terms”) govern the relationship between you the Counsellor/Psychotherapist or other professional (“You”) and TellYourProblems.

1.3 By submitting your profile to TellYourProblems you agree to be bound by the Terms.

1.4 The Terms shall apply throughout the period during which You subscribe to the TellYourProblems.

2. Defined Terms

Annual Fee means the subscription fee on an annual basis

TellYourProblems means the list of Subscribers, Website Information and details appearing on the Website.

Intellectual Property Rights means all patents, registered and unregistered designs, copyright, trademarks, know-how and all other forms of intellectual property wherever in the world enforceable.

Monthly Fee means the Subscription Fee on a calendar monthly basis

Subscriber means any counsellor or psychotherapist or other professional accepted by TellYourProblems to be a Subscriber and whose name and details and information appear on the Website

Subscription Fees means either the Monthly or Annual Fees set by TellYourProblems and set out on the Website in connection with the online directory.

Website means ww.tellyourproblems.com or such other Website as TellYourProblems might use.

Website Information means name, address, telephone number, email address, training, qualifications and experience, areas of counselling, fees, membership organisations and proof of professionalism (proof of membership with a professional body or proof of qualifications and insurance cover) as referred to at clause 4.2

Website Terms and Conditions mean the terms and conditions between TellYourProblems and the Website User as appearing from time to time on the Website

Website User means a person using the Website

3. The Contract

3.1 These Terms constitute the contract between You and TellYourProblems. By subscribing to the TellYourProblems Website, You are deemed to accept The Terms.

3.2 The Terms, together with any document referred to therein, contain the entire agreement between You and TellYourProblems.

3.3 TellYourProblems can make changes to The Terms in its sole discretion and notify You of these changes. Continuing to subscribe to the TellYourProblems Website after notification means that you have understood and accepted these Terms.

4. Website Use

4.1 You and TellYourProblems accept that TellYourProblems is purely a directory of counsellors, psychotherapists and other professionals, published for information to the public and does not in any way constitute a reference, validation or endorsement of You, the subscriber or your business.

4.2 In order to subscribe to the TellYourProblems, You must provide your up to date name, address, telephone number, email address, training, qualifications, experience, areas of counselling, and proof of professionalism (“the Website Information”). By providing this Website Information, You are agreeing that it can be made available to the public via TellYourProblems, that it is up to date and correct, and that You will continue to monitor it and keep it up to date.

4.3 You agree the Website Information that You provide for inclusion on the Website will be accurate at the time it is given and will, amongst other things, include all accurate and relevant qualifications together with an indication of insurance cover, or alternatively details of membership with a professional body. Further, You agree that any qualifications You send to TellYourProblems for verification were not gained through a long distance learning course. If You are an organisation rather than an individual, the relevant information to be given will be the same nature of information as it relates to a member or members of that organisation.

4.4 You agree that you will maintain the Website Information and ensure that it is up to date at all times. Should there be any change in any of the Website Information, You agree that You will advise TellYourProblems of the change within 7 days of the change being effected. Further, you agree that You will advise TellYourProblems if any complaint is, or ever has been, made against You.

4.5 You agree that any testimonial You provide via email or post can be used on the Website with Your name displayed against it.

5. Fees

5.1 You agree that you will pay the Subscription Fees either in accordance with the current monthly or annual rate as set out on the Website at the time. Such Fees will be paid on your due date as set out on the first invoice (“the Due Date”). Subscription Fees paid by credit/debit card will be debited automatically on the Due Date.

5.2 In the event that any Monthly or Annual Fee is not paid within 14 days of the Due Date, You agree to pay interest at a rate of 4% above the base rate of Alliance and Leicester Commercial Bank compounded monthly from Due Date until payment. You further agree that should any Monthly or Annual Subscription Fee remain outstanding for 30 days or more after the Due Date then TellYourProblems has the right to terminate this contract with immediate effect and remove your name from TellYourProblems. In such cases the full amount of the outstanding Subscription Fees shall remain due and owing and shall accrue interest in accordance with this clause.

5.3 You agree that TellYourProblems can change the Subscription Fees and put the new ones on the Website with one calendar month’s written notice to You.

5.4 When You make payment using credit/debit card, your payment details will be entered on the Website but shall remain secure and private. A secure server is used to protect your information. When You enter payment details on TellYourProblems the locked padlock symbol in the bottom right hand corner is displayed, which means the Website is secure, and private information can be sent safely. TellYourProblems uses ScotiaCard Business for its card processing facilities, who are located in Canada. As TellYourProblems is a Canada based Website only Canadian Dollars (CAD) are accepted when processing your Subscription Fees.

6. Cookies Policy

6.1 TellYourProblems uses cookies to collect and store information about your usage on the Website. To view further information on this, please see our Privacy policy and cookies page.

7. Cancellation & Refund Policy

7.1 Either party may terminate the Contract on one calendar month’s written notice to the other. Any payment due to be made by You during that notice period will still be taken by TellYourProblems. This applies whether You are paying monthly or annually. For the avoidance of doubt any payment even if received after Notice is given, will be retained by TellYourProblems.

7.2 No refund of any monthly or annual subscriptions will be made despite cancellation pursuant to this clause.

7.3 Termination may be made by TellYourProblems on immediate written notice in the event payment is not made within the time stipulated in clause 5.

7.4 No payment will be taken from your account until your entry appears on the Website. If your application is unsuccessful, You shall not be charged.

8. Further Information on the Website and Links

8.1 In addition to your Website Information and any other specific information, You are entitled to publish articles, advertise events, seminars or workshops, and publish information of promotions or special offers once registered on the Website. TellYourProblems reserves the right to decide not to publish this information. You agree that the information will be accurate at the time it is given and should there be any change in any of the information, You agree that You will advise TellYourProblems of the change within 7 days of the change being effected.

8.2 TellYourProblems is not responsible for any content or information published, or Links to other website which may appear on the Website.

8.3 You expressly agree that you will not sell or trade in any materials on the Website or re-distribute these in any way or for any purpose including the compiling of any databases, lists or directories or providing commercial information to any third party or any commercial or other reason.

9. Rights of TellYourProblems to remove Website Information

9.1 In the event TellYourProblems receives any complaint by a Website User, which, upon reasonable enquiries appears in TellYourProblems’s sole discretion to be genuine, TellYourProblems may refer the matter to You for your input, or may without reference to You, remove your Website Information.

9.2 In the event TellYourProblems is notified that You have not updated and properly monitored the Website Information appropriately under these Terms, TellYourProblems may, in its sole discretion, remove your Website Information.

10. Limitation of liability

10.1 TellYourProblems expressly excludes all responsibility and liability for the accuracy or otherwise of the Website Information and shall have no liability whatsoever in the event that a Website User shall claim to be misinformed or suffer any loss or costs or hardship as a result of relying on acting upon the information provided by You and appearing on the Website.

10.2 Notwithstanding the generality of the above clause, TellYourProblems shall specifically not be responsible for the accuracy or otherwise of the Website Information, the updating of it or the content in any way. Which shall at all times remain Your liability.

10.3 TellYourProblems shall not be liable for any interruption or temporary or otherwise shut down of the Website or any omissions, interruptions, suspension or deletion of any files or Website Information. Furthermore TellYourProblems shall not be liable in any way for any indirect or consequential loss resulting from the Website Information published on TellYourProblems.

10.4 TellYourProblems does not guarantee the security of any Website Information or any other information transmitted over the Internet pursuant to Your subscription.

11. Website Terms and Conditions

11.1 You acknowledge that TellYourProblems maintains its own Terms and Conditions on the Website to be used by members of the public and all users of the Website (Terms and Conditions – Website Users), including people specifically looking for counsellors or other professional people, or people merely browsing the Internet. By subscribing to the Website, you acknowledge that you have read these Terms and Conditions and agree to conduct yourself and your part of the Contract in a manner so as to allow those Terms and Conditions to be complied with.
